B2B DELIVERY AND RETURN TERMS


1. GENERAL INFORMATION

These B2B Delivery and Return Terms govern the delivery and return processes for food and non-food products offered through wholesale sales on www.foodscan.se by Synopsys AB (Org. No.: 559164-3159) and Foodscan APS (CVR No.: 36024690). These terms apply exclusively to business-to-business transactions (B2B) and form an integral part of the Wholesale (B2B) Sales Agreement.
The terms cover the BUYER'S rights and obligations regarding the delivery of ordered products, delivery processes, and return procedures.


2. DELIVERY TERMS

2.1. Delivery Areas and Sellers

Delivery is carried out by the following companies depending on the BUYER'S geographical area:

  • Sweden, Finland, and other EU countries: Synopsys AB (Address: Ollebovägen 14, 218 45 Vintrie, Sweden)
  • Denmark: Foodscan APS (Address: Hammerensgade 1 2, 1267 Copenhagen K, Denmark)
    The BUYER is obliged to clearly specify the delivery address at the time of order.

Delivery areas are defined as follows:

  • Sweden: Divided into 5 zones (Zone 0, Zone 1, Zone 2, Zone 3, Zone 4). Zone details are shown in the attached map.
  • Denmark: Divided into 2 zones (Zone 1, Zone 2). Zone details are shown in the attached map.
  • Finland: Defined as a single zone.
  • Other countries: Delivery terms may be established based on demand.

2.2. Delivery Methods

Products are delivered either as partial shipment (partial delivery) or pallet shipment, depending on the BUYER'S order volume and preferences.

  • Chilled products: Stored at +4°C and transported in specialized refrigerated vehicles.
  • Frozen products: Stored at -18°C and transported in specialized refrigerated vehicles. The minimum order quantity for frozen products is 1 pallet.
    Delivery is carried out by reliable logistics companies such as DHL, DB Schenker, Erikssons Åkeri, Blue Water Shipping, MX Transport. The Company reserves the right to change logistics companies and informs the BUYER in such cases.

2.3. Delivery Time

  • In-stock products: Delivered to transport within no later than 2 business days after the order is approved by the Company. Business days include Monday–Friday, excluding public holidays.
  • Non-stocked products: For products not in stock, a demand is created. The BUYER is informed of the estimated delivery time at order confirmation, and the products are delivered within 5 business days.
    Delivery time may vary depending on the performance of logistics companies, the BUYER'S address, and the distance to it.

2.4. Shipping Costs

Shipping costs are added to the order amount and clearly communicated to the BUYER at order confirmation.

  • Delivery areas (Zone 0, Zone 1, Zone 2, Zone 3, Zone 4 - Sweden; Zone 1, Zone 2 - Denmark; Finland single zone; other EU countries) are used as the basis for shipping pricing. Prices may vary depending on the BUYER'S address and the number of pallets; this information is communicated to the BUYER at order confirmation.
  • If the order amount exceeds 20,000 SEK (Sweden), 15,000 DKK (Denmark), or 2,500 EUR (Finland and other EU countries), shipping is free. For orders below these amounts, the following shipping fees per pallet apply:

  • The above fees are exclusive of VAT. VAT is added at checkout, and the final amount is communicated to the BUYER at order confirmation.
  • Additional costs may apply for pallet shipments and specialized refrigerated shipments. For detailed information, the BUYER should contact customer service ([email protected] or [email protected]).

2.5. Pickup from Warehouse

The BUYER may pick up products directly from the Company’s warehouse without shipping costs:

  • Synopsys AB Warehouse: Ollebovägen 14, 218 45 Vintrie, Sweden
  • Pickup Process: The BUYER contacts the Company after order confirmation to establish the date and conditions for pickup. The products are collected by the BUYER or an authorized representative from the warehouse.
  • Note: Pickup from the warehouse is only available for Synopsys AB. This option is not offered for Foodscan APS, but the BUYER may request a special arrangement in Denmark.

2.6. Execution of Delivery

Products are delivered to the address specified by the BUYER at the time of order or to an authorized third party.

  • If the BUYER or an authorized person is not present at the time of delivery, the Company is deemed to have fully fulfilled its obligation. Any additional shipping or storage costs incurred in this case are borne by the BUYER.
  • The delivery can be tracked with a tracking number provided by the logistics company; this information is sent to the BUYER after order confirmation.

2.7. Force Majeure

In the event of delivery delays due to natural disasters, logistics disruptions, strikes, or other unforeseen circumstances (force majeure), the Company immediately informs the BUYER. In such cases, the Company cannot be held liable for the delay, and the parties develop a solution through mutual agreement.


2.8. Right to Cancel Order

The Company reserves the right to cancel all or part of the order (products). If the BUYER has already paid, the paid amount is refunded within 2 to 14 business days, depending on the payment method.


3. RETURN TERMS

3.1. Right of Withdrawal

Since these transactions are based on business-to-business trade (B2B) and considering the perishable nature of food products no right of withdrawal is granted. The BUYER accepts this condition by approving the order.


3.2. Return Conditions

Returns are only possible in the following cases:

  • If the products do not match the order (wrong product, wrong quantity, etc.).
  • If the products are damaged or defective upon delivery (e.g., damaged packaging, expired shelf life).
    The right to return is not linked to consumer transactions and is limited to defects related to the delivery.

3.3. Complaints and Notification Process

The BUYER is obliged to inspect the delivered products upon receipt. If any defects (damage, shortage, unsuitability, etc.) are discovered, they must be reported in writing with visual evidence to the Company within 48 hours of delivery. Notifications can be sent to the following addresses:

    The notification must include a clear description of the defect and photographic evidence. If the notification is not made within 48 hours, the products are considered defect-free, and the right to return expires.

3.4. Return Procedure

For defective products, the Company contacts the BUYER and offers one of the following options:

  • Replacement Delivery: The defective product is replaced with a new product; shipping costs are covered by the Company.
  • Refund: If the BUYER prefers a return, the product’s value is refunded to the BUYER’S account within 14 business days after the defective product is received by the Company.
    Shipping costs for the return shipment are covered by the Company. The BUYER is obliged to follow the return instructions provided by the Company.

3.5. Non-Returnable Products

Returns are not accepted in the following cases:

  • If the products have been used, opened, or damaged by the BUYER.
  • If food products, due to their perishable nature, have not been stored properly after delivery (+4°C or -18°C).
  • Products that have been manufactured or customized according to the BUYER’S specific requests.

3.6. Liability After Delivery

After delivery, the Company cannot be held liable for damages or deterioration caused by storage or usage conditions. The BUYER is responsible for ensuring that the products are stored correctly from the time of delivery (+4°C or -18°C).


4. OTHER PROVISIONS

4.1. Notifications

All notifications related to delivery and return processes are sent to the email address provided by the BUYER at the time of order. The BUYER is responsible for ensuring that contact details are accurate and up-to-date.


4.2. Disputes

Disputes arising from delivery or return processes shall be resolved in accordance with the “Applicable Law and Dispute Resolution” clause in the Wholesale (B2B) Sales Agreement.
