WHOLESALE (B2B) SALES AGREEMENT

1. PARTIES

This agreement is a binding document that governs the rights and obligations of the parties regarding the wholesale sale of food and non-food products via foodscan.se.

2. GENERAL PROVISIONS

• 2.1. These terms apply between Synopsys AB (Org. No.: 559164-3159) or Foodscan APS (CVR No.: 36024690) and companies placing orders via www.foodscan.se. The companies’ contact details and other information are available on the website. These terms apply only to legal entities (companies) that order and purchase products via the website.
• 2.2. In addition to this agreement, the company’s privacy policy applies, which governs the processing of the BUYER’S data.
• 2.3. To shop via Synopsys AB or Foodscan APS, the BUYER must be a legal entity and have an approved account with the respective company.
• 2.4. The company reserves the right to unilaterally amend these terms. However, the terms accepted by the BUYER at the time of order are binding for that specific order. Changes will be communicated via the latest version published on the website and take effect upon acceptance of a new order.

3. PRODUCTS AND PRICING

• 3.1. Product Description: The object of sale is food and non-food products, whose types, quantities, and technical specifications are clearly stated on the foodscan.se website and in the order confirmation.
• 3.2. Pricing:
  • The prices listed on the website are exclusive of VAT. The total amount, including applicable VAT rates, is communicated to the BUYER at the time of order. The VAT rates are as follows:
    • From Synopsys AB to customers in Sweden: 12% for food products, 25% for non-food products and shipping/service fees.
    • From Synopsys AB to EU countries outside Sweden: VAT rate 0% (VAT is not applied).
    • From Foodscan APS to customers in Denmark: 25% for all products and services.
  • Invoicing is done based on the BUYER’S country of residence and preferences.
• 3.3. Invoice: The order amount (including or excluding VAT, depending on the situation) is clearly stated on the invoice and sent to the BUYER digitally or physically.

4. ORDER AND AGREEMENT CONCLUSION

• 4.1. The BUYER must accept these terms to place an order via the website.
• 4.2. When an order is placed via the website, Synopsys AB or Foodscan APS sends a confirmation via email. The purchase agreement becomes legally binding when the Company confirms the order in writing and the BUYER receives this confirmation via email.
• 4.3. The Company reserves the right to reject an order due to incorrect information from the BUYER, sold-out items, or other force majeure reasons.
• 4.4. If delivery according to the order confirmation is not possible, the Company will immediately contact the BUYER to inform them of the situation and offer solutions.

5. PRODUCT INFORMATION AND INTELLECTUAL PROPERTY RIGHTS

• 5.1. The Company reserves the right to correct typographical, image, or technical errors in information on the website, in advertisements, or other marketing materials. The Company is entitled to correct these errors, update the website’s content, and improve product specifications.
• 5.2. Product images on the website are used for illustrative purposes only and do not constitute a binding commitment regarding the product’s characteristics, functions, or warranties. The Company cannot be held responsible for information from third parties.
• 5.3. All content on the website (texts, images, logos, trademarks, etc.) is protected by copyright and intellectual property laws. This content may not be copied, used, or distributed without the Company’s written permission.

6. PRICES AND PAYMENT TERMS

• 6.1. The prices listed on the website at the time of order apply unless otherwise agreed in writing. Prices are exclusive of VAT and are stated in SEK (Swedish Krona), DKK (Danish Krone), or EUR (Euro). VAT rates are applied as per section 3.2.
• 6.2. Prices do not include shipping and payment costs; these costs are communicated to the BUYER separately at the time of order. Additional costs may apply for the use of pallets; for details, customer service should be contacted.
• 6.3. The Company strives to ensure that the information on the website is accurate. However, the Company is not bound by typographical errors or incorrect prices. If an incorrect price is discovered, the BUYER is informed, and approval of the corrected price is requested.
• 6.4. Payment Methods:
  • Klarna: Payments are made in accordance with Klarna’s applicable payment terms.
  • Stripe/ikasPay (Credit Card): Secure payment is made via Stripe or ikasPay infrastructure.
  • Bank Transfer: Payment must reach the Company’s accounts before delivery after order confirmation; delivery will not occur until payment is confirmed.
  • Bank transfers should be made to the following accounts:

Important: For bank transfers, the "order number" or "invoice number" must be specified in the message field.

• • Payment After Delivery (Invoice 20 days): Offered only to approved customers; payment terms and due date are clearly stated in the order confirmation.
  • If a payment fails, the Company reserves the right to specify an alternative payment method.

7. PROMOTIONS, DISCOUNT CODES, AND OFFERS

• 7.1. The Company may offer promotions, discount codes, or special offers during certain periods. These offers are limited to the specified time or stock availability.
• 7.2. Unless clearly stated otherwise, offers cannot be combined with other discounts. Upon the expiration or cancellation of an offer, these terms apply in full.

8. ABANDONED CART

• 8.1. If the BUYER adds products to the cart without completing the order and has approved marketing communications, the Company may send a reminder via email.
• 8.2. The BUYER can unsubscribe from this communication via the “unsubscribe” option in the email.
• 8.3. The price and stock availability of products in the cart are based on the conditions at the time of addition; the Company reserves the right to change these conditions.

9. DELIVERY

• 9.1. Shipping Costs: Shipping costs are added to the order amount and communicated to the BUYER at the time of order. For orders above a certain amount or volumetric weight (desi), free shipping may be offered; this is stated in the order confirmation.
• 9.2. Delivery Method: Products are delivered via partial or pallet shipment. Delivery is carried out by reliable logistics companies such as DHL, DB Schenker, Erikssons Åkeri, Blue Water Shipping, MX Transport.
• 9.3. Delivery Time:
  • In-stock products are handed over to transport within no later than 2 business days after order confirmation.
  • For non-stocked products, a demand is created; the estimated delivery time is communicated to the BUYER, and the products are delivered within 5 business days.
• 9.4. Pickup from Warehouse: The BUYER may pick up products directly from the warehouse without shipping costs:
